This Subscription Agreement (“Agreement”) is entered into by and between String Inc., a Delaware Corporation ("String"), and the entity ("Customer") accessing and using String’s software-as-a-service product ("Service"). By signing up for any subscription plan to use the Service offered by String, the Customer agrees to the following:
Billing: The Customer agrees to pay the applicable fees for the selected subscription plan to access the Service. Payments are due monthly on the anniversary date of the subscription's initiation. The Monthly Fee is automatically debited via Stripe Inc. every month on the anniversary date of the subscription initiation (the “Due Date”).
Savings Guarantee: String guarantees net positive savings on your monthly shipping expenditures as a result of using the Service. Should you, the customer, calculate a net saving that is not positive, defined as the savings garnered from utilizing String's Service minus the monthly fee paid to String's Service, you are entitled to a full refund of your monthly fee for that specific month. To qualify for this refund, the following conditions must be met: Minimum Shipments: The number of shipments processed through String in the month for which a refund is requested must be equal to or greater than the number of shipments covered by the monthly platform fee based on the subscription plan you have selected. This ensures fair usage and eligibility for the Savings Guarantee. Savings Calculation: Savings are calculated based on the difference between the cost of the pre-selected shipping option the Customer has for an order in ShipStation and the option selected by String. If no pre-selected option exists in ShipStation for a particular order, the savings will be calculated as the difference between the second cheapest option and the option that String selected. Rules Based Override: If a Customer defined rule is used to select a shipping option in ShipStation that results in no net savings or negative savings, net savings will be calculated as the savings from removing the need for equivalent manual labor pegged at $0.30 per shipment. To request a refund under this guarantee, the customer must submit a claim within 30 days of the end of the month for which the refund is requested, providing detailed records of shipments and costs to verify the savings calculation. String reserves the right to verify these details and may require access to the customer’s ShipStation account to review the pre-selected shipping options and savings calculations.
Authorization: The Customer authorizes String to automatically charge the Customer’s designated payment method for the Monthly Fee pursuant to the subscription plan and monthly usage of the Service, on the Due Date. This authorization will remain in effect until the Customer’s subscription is terminated, either by the Customer or String, in accordance with the termination provisions outlined in this Agreement.
Changing Plans: Customers may change their subscription plan at any time. The changes will be reflected in the following billing cycle.
Non-Payment: Failure by the Customer to pay the Monthly Fee, or any portion thereof, by the Due Date will constitute a material breach of this Agreement. In the event of such breach, String reserves the right to suspend or terminate the Customer’s access to the Service, in addition to pursuing any other remedies available to the Company under law or equity.
Changes in Fee: String reserves the right to modify the Monthly Fee for any subscription plan to access the Service upon thirty (30) days written notice to the Customer. Such changes will become effective on the first billing cycle following the notice period, and the Customer’s continued use of the Service shall constitute acceptance of the adjusted Monthly Fee.
Termination: Either party may terminate the selected subscription plan at any time. Any cancellation or termination of this agreement by Customer or String shall result in the balance of accrued fees during the current billing cycle being due and payable immediately. If subscription is canceled during a billing cycle, balance due will be prorated based on usage.
Data Collection: String stores data that is stripped of Personally Identifiable Information. Stored data includes but is not limited to physical mailing addresses, carriers, shipping rates, parcel measurements, product measurements, and usage logs. This data is collected for the purpose of improving functionality, providing insight into savings, developing new tools and features, advertising the efficacy of the software, and helping improve carrier rates.
Restrictions on Use: The software may not be used for the purpose of reverse engineering it and selling the new version to a third party. Any unauthorized use shall be considered a breach of this agreement and may result in the termination of this agreement and legal action.
Data Confidentiality: String may provide any data collected to it's partners. Any data shared will be stripped of information that identifies the Customers business entity, location, and customers.
Limitation of Liability: String will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware in the United States of America.This agreement constitutes the entire understanding of the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral. This agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators, successors, and assigns.
